Terms & Conditions

Onion Accounts Ltd ("Onion") provides software ("the software") to your accounts system provider ("the provider"). These terms relate to the agreement between Onion Accounts Ltd and your accounts system provider.

Key terms

• The provider must ensure the software is kept up to date, and any security patches are applied promptly.
• The provider must promptly report any security issue to Onion.
• The provider must ensure the software is only accessed by authorised individuals (i.e. those authorised to submit VAT returns for the accounts system customers).
• The provider must ensure the software and data (access keys) are stored on encrypted file systems, and that adequate security measures are in place.
• The software is not to be used for VAT registered individuals, only for corporate entities. As such all accounting information processed is not personal information.
• Specific terms may be agreed between Onion and the provider, as signed by a director of each party, taking precedence over these general terms.

Indemnities

Where, in this agreement, we say that you will indemnify us from something, it means that you agree to fully indemnify and keep us fully indemnified from and against all actions, demands, costs (on a full indemnity basis), losses, penalties, damages, liability, claims and expenses (including legal fees) whatsoever incurred by us and arising from that thing.

You will indemnify us from:

• Your breach of this agreement, non-compliance with the terms of this agreement (other than in respect of payment) by your users, and your negligence, or other act, omission or default;
• The operation or break down of any equipment or software owned or used by you;
• Any claim brought against us by any third party alleging that its intellectual property rights are infringed by the use by you of the services, equipment, or any software we provide to you; and
• Your use or misuse of the services, equipment, or any software we provide to you.
• References to “you” and “your” include your users, and anyone else who makes use of the equipment or services.
